Affiliate Program Terms

These Affiliate Program Terms are the agreement between RelyWP Ltd (“Company”, “we”, “us”, “our”) and you (“Affiliate”, “you”). By applying to or taking part in our affiliate program, you agree to follow them.

About the program

Our affiliate program lets approved affiliates earn commission by promoting our WooCommerce plugins with a unique referral link or coupon code.

The program is run on the Freemius affiliate platform. Freemius, Inc. is the merchant of record for our plugin sales, and it handles referral tracking, commission calculation, your affiliate dashboard and payouts on our behalf. Your affiliate account lives with Freemius, and its terms apply to that account alongside these terms. Where the two conflict on how a payment is made or a referral is tracked, the Freemius platform governs the mechanics; these terms govern our relationship with you.

Who is eligible

To take part you must:

  • be at least 18 years old, or the age of majority where you live;
  • apply through relywp.com or through the affiliate link on a plugin page; and
  • have a website, channel, newsletter, community or client base relevant to WordPress or WooCommerce.

We review every application and decide whether to accept it based on your promotion methods, your audience and your compliance history. That decision is ours. We may ask for further information or documents to confirm your eligibility, and we may end your participation if you do not provide them within a reasonable time.

Existing customers are welcome to apply, and agencies and freelancers are encouraged to refer the client stores they build.

Commission

Affiliates earn 20% commission on qualifying sales.

Qualifying sales are first purchases by new customers referred through your unique link or coupon code. Commission is paid on:

  • the first payment on yearly plans;
  • the first payment on lifetime plans; and
  • the first 12 months of payments on monthly plans.

Commission is calculated on net revenue: the amount actually received after discounts, and excluding refunds, chargebacks, credits, payment processing fees, VAT, sales tax and any other tax.

Commission is not payable on renewals beyond the periods above, on upgrades or additional purchases by an existing customer, on your own purchases, or on customers who were already in an active sales conversation with us at the time of the referral, unless we agree otherwise in writing.

We may offer higher rates, bonuses or milestone incentives to particular affiliates or for particular campaigns. Where we do, the terms of that offer will be set out in your dashboard or confirmed by us in writing.

How referrals are tracked

Referrals are tracked by Freemius through your unique referral link, and by coupon code where you have been issued one.

Clicking your link sets a tracking cookie that lasts 30 days. If the visitor buys within that window, the sale is attributed to you. We use last-click attribution: where a customer has clicked more than one affiliate’s link, the most recent one before purchase gets the commission.

Where you have been issued a coupon code, the customer must apply it at checkout for the sale to be attributed to you by that route.

Tracking depends on technology outside our control. Commission may not be payable where tracking fails because of browser settings, privacy tools, ad blockers, cookie restrictions or a customer clearing their cookies. We are not liable for commission lost this way.

Payment

  • Schedule: monthly, processed by Freemius within 60 days of the end of the month in which the commission became payable.
  • Method: PayPal, in US dollars, to the PayPal email address on your affiliate account. Keeping that address correct is your responsibility.
  • Threshold: commission is paid once your balance reaches $100. Anything below that rolls over to the next cycle.
  • Holding period: commission is held for 90 days from the sale to cover our refund window and any chargeback, and may be adjusted or withheld during that period.
  • Invoices and tax forms: you may be asked to provide an invoice, and tax documentation such as a W-9 or W-8BEN, together with identity verification. Payments may be delayed or withheld until you do.
  • Taxes: commission is calculated on net revenue and excludes VAT or GST unless the law requires otherwise. You are responsible for any tax, duty or government charge on the commission you receive, and for declaring it. We are not liable for your tax obligations.
  • Refunds and chargebacks: if a referred sale is refunded or charged back after commission has been paid, we may deduct the amount from your future commission.

How you may promote us

We ask you to promote our plugins in a legal, honest and professional way.

  • Use the promotional material we provide, or material you have created yourself that is accurate about what our plugins do. We can review your material on request.
  • Disclose your affiliate relationship clearly wherever you promote us, as required by the FTC in the United States, the CAP Code and the Advertising Standards Authority in the United Kingdom, and equivalent rules elsewhere.
  • You may use our name and logos to promote us, but not in domain names, social media handles, app names or as your own branding, and not in a way that suggests you are us or that we endorse an unrelated product.
  • You may promote competing products. You must not misrepresent our plugins in doing so.

What you must not do

You must not:

  • send unsolicited email, bulk email or any other form of spam, or breach anti-spam law including the CAN-SPAM Act, the Privacy and Electronic Communications Regulations and the GDPR;
  • use false, misleading or deceptive advertising, including invented reviews, fake testimonials, fabricated statistics or claims about features our plugins do not have;
  • bid on our brand terms, such as “RelyWP”, “Coupon Affiliates” or the names of our plugins, in paid search or paid social advertising, without our prior written approval;
  • run paid advertising that sends traffic directly to relywp.com through your affiliate link, unless we have approved it in writing;
  • use our trademarks in domain names or social media handles, or register a domain that could be confused with ours;
  • refer yourself, or use your own link or code for your own purchase, or arrange for someone to do so on your behalf;
  • generate clicks or referrals through bots, scripts, click farms, automated tools or incentivised clicking;
  • post our codes or discounts on coupon, deal or voucher aggregator sites without our prior written approval;
  • promote us through malware, adware, browser extensions that inject links, toolbars or cookie stuffing;
  • promote us on sites containing illegal, adult, hateful or otherwise offensive content; or
  • do anything else that breaches applicable law or regulation.

Breaking these rules may result in your removal from the program, forfeiture of unpaid commission, reversal of commission already paid, and, in serious cases, legal action.

Your obligations

You must keep the information on your affiliate account accurate, complete and up to date.

You confirm, when you join and for as long as you take part, that you have the authority to enter into this agreement, that if you are a business you are properly constituted under the law of the place you are registered, and that you will comply with all applicable laws and regulations while taking part.

Data protection

If you collect or handle personal data in connection with your promotion of us, you do so as an independent controller and you are responsible for complying with data protection law, including the UK GDPR, the EU GDPR and the CCPA. We are not responsible for your compliance.

We handle your own personal data as an affiliate in line with our Privacy Policy.

Relationship between us

Nothing in these terms makes either of us the employee, agent, partner or joint venturer of the other. You are an independent contractor and have no authority to make any statement, representation or commitment on our behalf.

This is not an exclusive arrangement. Both of us are free to work with others on similar products and services.

You may not assign, transfer, delegate or subcontract your rights or obligations under these terms without our prior written consent. Any attempt to do so is void.

No guarantee of results

We do not guarantee that you will earn any particular amount, or anything at all. Earnings depend on factors outside our control, including your audience, your promotion and the market. Any figures we publish are illustrative and are not a promise of what you will earn.

Intellectual property

We remain the sole owner of all intellectual property rights in our plugins, our brand, our content and our promotional materials.

We grant you a limited, non-exclusive, non-transferable, revocable licence to use our name, logos and approved promotional materials for the sole purpose of promoting us under these terms, for as long as you take part in the program. That licence ends when your participation ends.

Reporting

Your Freemius affiliate dashboard shows clicks, referrals, pending and paid commission. Figures are updated as the platform processes them and may lag behind real time. We are not responsible for delays, gaps or errors in reporting caused by technical issues, and dashboard figures are indicative until commission is confirmed at the end of the holding period.

Indemnity

You agree to indemnify and hold harmless RelyWP Ltd and its officers, directors, employees and agents against any claims, damages, losses, liabilities, costs and expenses, including reasonable legal fees, arising out of or related to your breach of these terms, your negligence or wilful misconduct, the content you publish, or your breach of any applicable law.

Limitation of liability

Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited.

Subject to that, and to the maximum extent permitted by law, we are not liable to you, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for indirect, incidental, special, consequential or punitive loss; loss of profit, revenue, business opportunity, anticipated savings, data, goodwill or reputation; or fines, penalties or regulatory sanctions imposed on you.

Our total liability to you under these terms will not exceed the total commission we paid you in the 12 months before the event giving rise to the claim.

Force majeure

Neither of us is responsible for a delay or failure to perform caused by events beyond our reasonable control, including natural disasters, war, civil unrest, industrial action, failure of a supplier or platform, and failure of telecommunications or internet infrastructure, provided we tell each other promptly.

Duration and termination

These terms begin when we accept you into the program and continue until either of us ends it.

  • You may leave at any time, on written notice to [email protected].
  • We may end your participation at any time, with or without reason, including for breach, suspected fraud, or where your promotion presents a risk to our reputation.
  • If you generate no qualifying referrals for six months, we may close your account.

When your participation ends, you must stop using our referral links, coupon codes, promotional materials, name and logos immediately, and remove them from your site and channels.

Commission below the $100 threshold is not paid on termination, unless we close the program entirely or end your participation without cause, in which case we will review and pay any validly earned commission.

We may change or close the program at any time. We will tell you by email or by a notice on our site, and will pay commission validly earned up to that point.

Changes to these terms

We may update these terms by posting the change on our site or emailing you. Continuing in the program after a change means you accept it.

Governing law

These terms, their subject matter and their formation, and any non-contractual disputes or claims arising out of them, are governed by English law. We both agree to the exclusive jurisdiction of the courts of England and Wales.
